Live Instructor-Led “Mini” MBA in UK Contract Law and Contract Drafting
Aims
This accredited course will provide participants with a solid understanding of and ability to apply the UK legal system to contracting for the procurement and sale of goods and services. To enable an understanding of the general principles of UK contract law. To enable participants to draft legally binding contracts, whilst identifying key risks and highlighting when specialist advice is needed.
The content of this course is meant to represent that part of a traditional MBA called an elective subject, which would be part of the MBA programme; this course is not a full MBA programme.
Target Audience
This “Live” instructor-led course has been designed for those in the organisation responsible for the negotiation, drafting, review and formation of commercial contracts. They may be responsible for forming terms and conditions and other legally binding agreements and will include supply chain leads, technical staff, procurement, sales teams, commercial and contract managers and other specialists.

Learning Outcomes
By the end of the course, participants will be able to:
- Understand key sources and principles of the English legal system and how it was developed
- Describe seven key elements needed for contract formation and relate this to their own procurement process
- Explain how terms are incorporated in the contract and interpreted by the courts to ensure the organisation’s interests are protected
- Differentiate between express and implied terms and conditions, and warranties
- Understand the different types of business that they might contract with and what difference this makes to their contracts
- Understand and avoid the battle of the forms
- Identify key legislation which shapes contracting behaviour
- Illustrate how contracts can be ended
- Outline ways to optimise added value throughout the duration of the contract
- Discuss and evaluate the key contractual terms for the organisation
- Understand what to do if there is a change in the customers/ supplier’s status
- Understand and apply the principles of drafting contracts and simplification
- Understand the law of Tort and vicarious liability
- Understand the law of Agency and its implications for the Agent, Principal and Third Parties
- Evaluate applicable remedies in the event of disputes
- Effectively negotiate with providers in relation to terms and conditions
